MCE Equity Pathways Workshop Series: Come to Terms – Understanding Term Sheets

The Maine Center for Entrepreneurs and Preti Flaherty are partnering to present Equity Pathways - a series of workshops designed to help entrepreneurs understand the available options and mechanics of fundraising, whether or not to raise capital, various early-stage funding opportunities, and how to become investor-ready. Each workshop will focus on a key element of raising capital in a talk and discussion format.
Workshop 5: Come to Terms: Understanding Term Sheets
This workshop will teach you the language of an equity term sheet as well as the long term implications of the most important deal terms. You’ll learn about the four broad categories of deal terms (economics, exit/liquidity, protection, management and control) and review the major terms in each. Three sample term sheets will be distributed and discussed: convertible note, seed, and common. Presenters Michael Sheehan and John Burns will address the implications of issues like the balance of pre-money valuation with liquidation preference.
