C. Russel Hansen, Jr. joined Preti Flaherty in 2006 and practices from the
firm’s Boston, MA office. Russ brings over 30 years’ experience as in-house and
outside counsel to the firm’s Business Law Practice Group. His principal
practice areas include securities, strategic partnering, mergers and
acquisitions, venture capital finance and business transactions. Russ most
recently represented:
- Founders in an LLC organization and formation
- Selling stockholders in a public company acquisition
- A private company in organizing and syndicating multiple rounds of financing
for a medical device company
- An investment group in negotiating a hedge fund investment
- Public, private and startup manufacturing, software and telecommunication
companies in technology licensing and remarketing agreements
- A start-up life sciences company in its organization and initial round of
financing
- A restaurant business in the acquisition of a restaurant chain.
- A large private-public partnership in forming its board of directors and
developing its Board Guidelines, Committee Charters and Ethics Policies.
- A nanotechnology startup in raising its initial round of equity
financing.
Russ has held positions as in-house counsel with BGS Systems, Inc., an
international system software company and PCD, Inc., an international
connector/test and burn-in socket company. He began his legal practice at Hale
and Dorr (now Wilmer Cutler Pickering Hale and Dorr) where he remained for 18
years, was a Senior Partner in its Corporate Department and practiced in the
fields of M&A/strategic partnering, high technology, intellectual property,
securities, venture capital, equipment leasing, general corporate, international
distribution and commercial law.
Russ is also Principal of The Board Place, a corporate governance and board
performance consultancy and a Managing Director of Board Leaders, LLC, a
business organization of directors. He previously served as President of the
National Association of Corporate Directors in Washington, D.C, and was the
Founder of The Governance Institute and Van Rensselaer Press in Waltham, MA.
Russ is admitted to practice in Massachusetts and serves as co-chairman of
the Business Law Section of the Boston Bar Association. He is a member of the
Board of Directors of Atlantic Challenge, River Arts, Inc., a private investment
fund, a private foundation, the Waldoboro, Maine Board of Appeals and the
Advisory Board of Boardroom Bound. He is a Board and Chairman Advisor for the
New England Center for the Performing Arts and a member of the American Bar
Association Corporate Governance Committee.
